Please carefully review the following Terms of Service under which START A RIDE offers you access and use of our Service (explained below). This document contains important information regarding your legal rights, remedies, and responsibilities, along with certain exclusions and limitations.

These Terms of Service are applicable to all services provided by START A RIDE INC. (a company registered in Barrie Ontario, Canada, and incorporated on January 2024, under the Ontario Business Corporations Act with Certificate of Incorporation 1000784824), with its registered office located at 19-233 Innisfil Street, Barrie ON. L4N 3E9.

START A RIDE provides an online platform for connecting Drivers who have available seats in their vehicle and are planning a Trip with Passengers seeking to make the same Trip and in need of transportation (collectively, the “Services”), available through our website at www.startaride.com and any other Subdomains or Mobile Applications provided by START A RIDE (collectively, the “Service”). By utilizing the Service, you acknowledge and agree to be legally bound by these Terms of Service (“Terms of Service”), whether you register to use the Service. Please review these Terms of Service carefully, as they govern your access and use of the Service, along with all Members’ (described below) and START A RIDE content. If you do not agree with the Terms of Service, you have no right to continue using or accessing the Service and all Members’ and START A RIDE content. Failure to comply with the Terms of Service may result in civil and criminal penalties.

The Service is provided as an online platform allowing Drivers (defined below) and Passengers (defined below) to arrange Trips (defined below) for Carpooling (defined below) purposes directly with each other, strictly on a non-commercial or professional basis. By proceeding to use and access the Service, you confirm that you understand START A RIDE is not a party to any agreements made between Drivers and Passengers and has no control over the conduct of Drivers, Passengers, or Members of our Service. You acknowledge that START A RIDE is not an insurer, agent, or broker, and you release us from all liability in this regard to the fullest extent permitted by law.

START A RIDE reserves the right, at its sole discretion, to modify the Service or these Terms of Service, including the Booking fee, at any time and without prior notice. If modifications are made, we will post them on the Service or provide notice of the modification. The “Last Updated” date at the top of these Terms of Service will also be updated. By continuing to access or use the Service after modifications have been posted or notice has been provided, you indicate your agreement to be bound by the modified Terms of Service. If the modified Terms of Service are unacceptable to you, your only option is to cease using the Service.

3. Your responsibilities

3.1 Members are required to verify their identity through email or phone number. We do not conduct investigations into any Member’s reputation, conduct, morality, criminal background, or other information posted on the Service. You are responsible for using common sense and determining the suitability of other Members of the Service. We encourage direct communication between potential Drivers or Passengers through the Service and advise taking the same precautions as you would when meeting someone for the first time.

3.2 You are solely responsible for your interactions with other Members of our Service. We will not be liable for any damage or harm resulting from your interactions with other Members. We reserve the right to monitor interactions and restrict access to any Member posting objectionable material.

3.3 Release. As our Service is a facilitator, in the event of a dispute between you and another Member, except where such exclusions are prohibited by law, especially in line with the “Loi sur la protection du consommateur québécois,” you release us (and our affiliates) from any claims, demands, and damages (actual or consequential) of any kind and nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising from or connected in any way with such disputes

4. Your conduct

4.1 As a Member of this Service, it is imperative that you demonstrate responsible behavior and exercise sound judgment. This encompasses, but is not limited to, the following:

4.1.1 Ensuring cautious and law-abiding driving practices, refraining from driving under the influence, and complying with all relevant laws and regulations, while also maintaining a vehicle in good working condition that has passed all necessary inspections.

4.1.2 Refraining from infringing upon the rights of any third party, including but not limited to intellectual property, privacy, publicity, or contractual rights.

4.1.3 Using information obtained through this Service solely for authorized purposes and refraining from any unauthorized use.

4.1.4 Avoiding interference with or harm to the Service. Our intentions are genuine.

4.1.5 Abstaining from using this Service for the distribution of spam.

4.1.6 Respecting fellow Members by refraining from harassment, abuse (verbal or physical), or stalking on the Service.

4.1.7 Refraining from utilizing the Service for commercial activities, unless specifically agreed upon directly with START A RIDE.

4.1.8 Avoiding the registration for the Service on behalf of another individual.

4.1.9 Confirming that you are at least 18 years old and possess the legal capacity and authority to enter a contract, thus enabling you to access and utilize the Service or register for an Account. By accessing or using the Service, you affirm and warrant that you are 18 years of age or older and have the requisite legal capacity and authority to enter a contract.

4.1.10 Refusing to aid a third party in any actions that contravene the aforementioned guidelines.

4.1.11 Reporting instances of misconduct

In the event that you believe another Member of the Service has engaged in inappropriate behavior, including but not limited to offensive, violent, or sexually inappropriate conduct, or any other form of unsettling behavior, you must promptly report such individual to the appropriate authorities and to us by contacting us. Please note that your report does not compel us to take any action or incur any liability.

5 Use and access of the Service

5.1 NO commercial activities, unless specifically agreed upon by contract with START A RIDE. The Service is strictly intended for facilitating carpooling between Drivers and Passengers on a private basis. The Services may not be utilized for offering or accepting carpooling for financial gain or in any commercial or professional capacity, unless expressly agreed upon by contract with START A RIDE.

Drivers are prohibited from profiting from any Trip. The Service and the Contribution fee may only be utilized to cover the Driver’s expenses and may not be utilized to generate profit for the Driver. Drivers are not entitled to profit from the Trip Contribution amount, the types or frequency of Trips offered, or the number of Passengers transported. This stipulation applies to all activities, arrangements, and services booked through the Service, as well as any additional services or activities agreed upon between Driver and Passenger.

Drivers must not provide additional services to Passengers for profit or gain, and Passengers must not request or accept such services. This includes, but is not limited to, package delivery, waiting time, additional pick-up and drop-off points, and collecting additional Passengers.

All Trip details and pick-up/drop-off points must be prearranged through the Service in advance. Drivers are prohibited from picking up Passengers from any location not prearranged with the Passengers through the Service.

Drivers are not permitted to post speculative Trips. Trips may only be posted if the Driver is fully certain of the travel details, ensuring reliability for Passengers.

Drivers are reminded that utilizing the Service for commercial or professional purposes may void their insurance coverage. START A RIDE’s liability is limited in accordance with these Terms of Service, and specifically, START A RIDE is notliable for any breach of agreement between Members or breach of these Terms of Service by a Member, including instances where a Driver (in violation of these Terms of Service) offers services through the Service in a professional or commercial capacity, potentially voiding their insurance coverage. Members are responsible for ensuring that services are not provided on a commercial basis.

START A RIDE does not provide transportation services. The carpool service offered is an online platform that facilitates connections between Members. START A RIDE does not intervene in Trip details, destinations, or timings. The carpooling agreement is solely between the Driver and the Passenger. START A RIDE is not a party to any agreement or transaction between Members, nor is it liable for any matters arising from a Booking between Members. START A RIDE does not act as an agent for any Member.

Any breach of these Terms of Service will result in immediate suspension of a Member’s Account, and they may be restricted from accessing any further Services.

5.2 Access to the carpool service

Every Member of START A RIDE must create an Account to access the Service. To create an Account, you must:

5.2.1 Log in or register for the service:

5.2.1.1 Log in using your Facebook or Google Accounts via Open Authentication methods (OAuth). By using such OAuth methods, you acknowledge that START A RIDE will have access to information from your Facebook or Google Account and may publish some of that information on the Service. You can sever the link between your START A RIDE Account and your Facebook or Google Accounts through the “Social Accounts” section of your Account settings.

5.2.1.2 Or register using your email and password, completing all required fields on the registration form.

5.2.2 Verify your email address and maintain access to it while using the Service.

5.2.3 Verify your cell phone number and maintain communication capabilities with other Members via calls and text messages while using the Service.

5.2.4 Provide your legal first and last names.

5.2.5 Upload a well-lit profile photo clearly depicting your face.

5.2.6 Provide an accurate self-description.

5.2.7 Disclose your age and gender.

5.2.8 Agree to our Terms of Service and Privacy Policy.

When creating your Account, you agree to provide accurate and truthful information and to keep it updated through your profile or by notifying START A RIDE.

You agree to be the sole proprietor of your Account and not to share its access with anyone.

You affirm that all representations, communications, Bookings, Payments, and use of any other features provided by the Service are made solely by you and not by a third party or on behalf of a third party.

You agree not to create or utilize Accounts under your own or a third party’s identity, other than the one initially created by you.

You may need to provide an email address and password during the registration process. You are solely responsible for maintaining the confidentiality and proper use of this information. You must promptly notify us of any unauthorized use of your login details or any other security breaches.

5.3 Eligibility to use the Service

START A RIDE offers a carpooling service that enables Members to contact each other to arrange carpools. The Passenger is expected to contact the Driver through the Service to arrange a carpool and establish any travel conditions (such as luggage size, equipment, etc.).

The eligibility of a member to use the carpool service is at the discretion of START A RIDE, and thus START A RIDE reserves the right to withdraw the service from any Member at any time.

5.4 Conditions under which the Service is provided

START A RIDE reserves the right to:

(i) Withdraw the Service provided and restrict it to a subset of Members and/or specific destinations.

(ii) Make exceptions to the Service’s policies.

6 Features of the Service

6.1 Trips

The Driver proposes Trips on the Service by providing the origin and destination, date and time of departure, seats available and any other relevant information.

The Driver proposing a Trip must be the primary Driver of that Trip and cannot delegate the driving to another Driver. If another Driver is to participate in the driving during the Trip, this must be disclosed and agreed to by the Passengers prior to departure.

In the scope of a Trip, Passengers can exchange Messages and place Bookings with the Driver.

6.1.1 Messages

Start a Ride provides a messaging service (the “Messaging service”) to enable communication between Members. Messages can be exchanged between the Driver and the Passenger to discuss finer details about the Trip.

Please note that we do not allow the exchange of personal contact details such as phone numbers, email addresses or Website URLs through the Messaging service until a Booking has been approved.

6.1.2 Bookings

The Passenger may book one or more seats from the Service only by performing an online Payment with a valid credit or debit card. The Payment is received by Start a Ride and constitutes a Booking on the Trip.

After performing a successful Booking on a Trip, the Driver and Passenger are bound to that Booking and any cancellations are subject to the Cancellations terms listed below in Section 6.5

The Driver and Passenger are informed of the Booking by notifications sent to their email address or phone registered with Start a Ride. The Booking is only valid under the Member’s registered name on the Service and is void under any other name. The Driver is subject, upon a Booking placed by a Passenger, to complete the Trip as agreed by each party. The Driver must ensure there are enough seats in their vehicle to comfortably accommodate each Passenger with a seatbelt. Drivers have the choice between two systems to receive Bookings on their Trip:

6.1.2.1 Request to book

Under the Request to book system, the Driver indicates they wish to manually approve or decline each Booking request on their Trip.

Passengers Request to book on a Trip with a Driver by placing a Payment authorization on their card. Passengers may also specify a Booking request expiry time between 1 and 24 hours, during which the Driver must manually approve or decline the Booking request.

If the Driver approves the Booking request, the Booking is confirmed, and the Passenger’s Payment is captured, and a charge is made on the Passenger’s card.

If the Driver declines the Booking request, the Booking is voided, and the Passenger’s Payment is not captured, and the authorization is released from the Passenger’s card.

If the Driver doesn’t approve or decline the Booking request, the Booking request automatically expires once the Booking request expiry time is reached and the Passenger’s Payment is not captured.

The Passenger can also withdraw a Booking request at no charge if the Driver hasn’t previously approved it. The Passenger’s Payment is not captured, and the authorization is released from the Passenger’s card.

6.1.2.2 Instant book

Under the Instant book system, the Driver indicates they wish Bookings on their Trip to be instantly and automatically approved without manual intervention.

Passengers who Instant book will make a Booking with an immediate Payment on their card and be instantly charged and approved.

Bookings made under the Instant book system, except for the provision under the “Loi sur la protection du consommateur” if you are in Québec, are final and subject to the Cancellation policy described in this document under section 6.5

6.2 Currency

All Payments and Payouts in the Service are processed in Canadian Dollars (currency symbol $CAD).

6.3 Payments by Passengers

6.3.1 Online Payments – NO cash

To provide a reliable and successful Carpool experience, start a Ride operates a Service with online Payments. Within the scope of this Service, all Payments are to be processed online using Start a Ride’s secure Payment service.

Any other forms of online or offline Payments, including but not limited to cash and e-transfers, are not allowed and may lead to the closure of your Account.

6.3.2 Collection of Payments

To collect Payments, the Service uses Stripe, a third-party, secure online Payment’s gateway. Stripe is certified to PCI Service Provider Level 1, the most stringent level of certification. Your credit card information is kept safely with Stripe and no sensitive information hits the Start a Ride servers.

By using Start a Ride, you agree for Stripe to securely store and retrieve your personal credit information as depicted in the Stripe terms of service.

Once your money is processed with Stripe, it is safely kept in escrow with Start a Ride.

6.3.3 Booking fee

In the scope of the Carpool service with Bookings, Start a Ride collects a service fee on each Booking (the “Booking fee”). The Booking fee is added on top of the Trip contribution and is paid by the Passenger at the time of Booking.

6.3.4 Interests

The Payments for Contributions placed through the Service’s Booking service and owed to Drivers might accrue interests over time if they are not paid out in a timely manner. This might happen under exceptional circumstances. The Member agrees never to claim any interest accrued on any Payment they are due.

6.3.5 Fraud and Identity

Members agree to respond to any demand from Start a Ride, the bank or any legal entities with regards to preventing or fighting fraud and/or money laundering. Members agree to comply with such Requests by supplying valid identification documents. In the event of an immediate response to such Requests, Members agree in advance to allow Start a Ride to freeze any funds they might be owed in relation to any Trips or Bookings on the Service or/and to restrict their access to the Service.

6.4 Payouts to Drivers

6.4.1 Payout methods

Bank account Payout methods supported to sent Payouts to Drivers on Start a Ride:

Into their Bank account by entering their Bank account details into their Account.

Bank account payouts can only be processed to Canadian Bank accounts in $CAD.

Start a Ride is not responsible for ensuring Bank account details have been entered correctly and any Payouts sent to erroneous Bank accounts cannot be reverted.

Bank accounts may require additional verifications for security reasons and to prevent fraud, including but not limited to the verification of a piece of identification from the Driver.

6.4.2 Payout process

After a Trip, the Payment made by a Passenger goes through a clearing period of four (4) days. During this clearing period, Passengers can dispute their Booking on the Trip. In the absence of a dispute during this clearing period, the Payment is cleared on the fourth (4th) day.

Once the Payment is cleared, the Contribution portion of the Payment (the Payment minus the Booking fee) is ready to be sent out to the Driver as a Payout.

At this point, the Driver must have a valid Payout method linked to their Account. If no valid Payout method is linked to the Driver’s Account, the Payout will be held in escrow with Start a Ride until a valid Payout method is linked to the Driver’s Account.

Once the Payout method is selected and linked to the Driver’s Account, the Driver can request a Payout on their Account. Start a Ride processes Payouts manually on business days, with a processing time of up to three (3) business days. Once the Payout has been processed, it may take an additional two (2) business days for the funds to reach the Driver’s Payout method. If a valid payout method isn’t entered within 365 days of the trip departure, the payout is forfeited, and payments from the bookings on the trip are deemed to belong to START A RIDE.

6.4.3 Conditions for the Driver to Receive Payment

Within the framework of a trip between a driver and one or multiple passengers, the driver must:

a) Arrive at the pick-up point five (5) minutes in advance.

b) Before departure, inform the passengers approved for a trip of any modifications to the trip details that might affect the passengers, including but not limited to changes in the timing of the trip and/or the pick-up or drop-off points. If a passenger refuses a change on that trip before departure, they have the full right to cancel their booking without fees, and no contribution goes towards the driver’s costs.

c) Wait for the passenger at the pick-up point for up to 10 minutes past the agreed-upon pick-up time and give any missing passengers a courtesy call before leaving without them.

d) Be the main driver and safely transport the passenger to the predefined and agreed destination.

e) Not operate a commercial, for-profit service unless explicitly agreed to by START A RIDE. START A RIDE reserves the right to refund a passenger and/or close the driver’s account if they fail to fulfill the above conditions on a trip.

6.4.4 Payment Processing Fee

Within the framework of the carpool service with bookings, START A RIDE collects a service fee on each payout to the driver (the “payment processing fee”).

The payment processing fee is deducted from the trip contribution and withheld during the payout process.

Policies on Cancellations, No-Shows, and Disputes.

6.5 Cancellations

6.5.1 Cancellation policy

A Cancellation may occur under the following conditions:

The Driver decides to Cancel the Trip before it starts

The Passenger decides to Cancel the Trip

The Driver or Passenger fail to show up at the agreed departure time and location The Cancellation policy may differ depending on whether the Cancellation was initiated by the Driver or Passenger, and under which conditions the Cancellation was made. Please refer to the Cancellation policy under the Trip’s booking terms for more information on the Cancellation fees applicable.

6.5.2 Cancellation fees

If the Passenger Cancels the Trip, Cancellation fees may apply, unless the Driver also Cancels the Trip within 1 hour of the Passenger’s Cancellation.

If the Driver Cancels the Trip, Cancellation fees may apply, depending on the time of the Trip and the reason for the Cancellation.

Please refer to the Cancellation fees policy described in the Trip’s booking terms for more information. 6.5.3 Reimbursements

Start a Ride is not responsible for any Reimbursements related to Bookings on the Service. Any Reimbursements for Bookings on the Service must be handled between the Driver and Passenger directly. Start a Ride may help with this process but is not responsible for handling any Reimbursements.

6.6 Insurance

Start a Ride does not provide any additional insurance coverage for Members during Trips on the Service. Members are responsible for ensuring they have adequate insurance coverage, including but not limited to liability insurance and personal injury insurance, for any Trips on the Service.

Members agree to abide by the terms and conditions of their insurance provider, including but not limited to any terms related to ridesharing or carpooling. The Driver takes the responsibility to insure their vehicle as per the laws in effect and to check the validity of their insurance before every Trip. The Driver must also have a valid Driver’s licence. It is each Driver’s and Passenger’s responsibility to verify with their insurance company they are covered while Carpooling.

For Drivers with company issued vehicles, it is also their duty to check their insurance policies cover all Passengers on a Carpooling Trip.

Both Driver and Passenger are informed of the possibility for their insurance companies to refuse to cover the damage caused in a possible incident while using a private vehicle for commercial purposes as depicted in section 5.1. The Member accepts the full financial responsibility for any uncovered insurance claims that might result from an accident and agrees that START A RIDE is in no way liable.

START A RIDE reserves the right to suspend at any time a Member’s Account and withhold any outstanding Payments in suspicion or acknowledgement of the Member practicing any commercial activity related to the Service, as described in section

START A RIDE also reserves the right to communicate any illegal activity through the Service to the relevant authorities.

6.7 Dispute resolution

Start a Ride may offer dispute resolution services to Members to help resolve disputes related to Trips and Bookings on the Service. Members agree to abide by any decisions made by Start a Ride in relation to disputes on the Service.

6.8 ID verification

Start a Ride may offer ID verification services to Members to help verify the identity of Members on the Service. Members agree to provide accurate and up-to-date information for ID verification purposes.

6.8.1 Security

START A RIDE is very concerned with safeguarding your information. When you enter sensitive information (such as a digital copy of your identity documents: Driver’s license, ID card, passport or any other form of ID) on our ID verification form, we encrypt that information using secure socket layer technology (SSL). We follow generally accepted industry standards to protect the personal information submitted to us, both during transmission and once we receive it. No method of transmission over the Internet, or method of electronic storage, is 100% secure, however. Therefore, we cannot guarantee its absolute security. If you have any questions about security on our Service, you can consult our Privacy Policy or contact us.

We will make any legally required disclosures of any breach of the security, confidentiality, or integrity of your personal data stored on our Service, in line with applicable laws.

6.8.2 Your responsibilities

We ask Members to verify their identity by linking:

6.8.2.1 their email address to the Service

6.8.2.2 their cell phone number to the Service

6.8.2.3 uploading a legal form of identification to the Service

6.8.2.4 for Drivers, the only accepted forms of identification are their personal Driver’s license with a valid expiry date or a recent abstract from the local governing transport authority.

6.8.2.5 for Passengers, the only accepted forms of identification are their personal Driver’s license with a valid expiry date, a recent Driver’s licence abstract, a national identity document or a passport.

We do not investigate any Member’s reputation, conduct, morality, criminal background, or any other information. You are responsible for exercising common sense when determining the suitability of other Members of the Service. Be smart, be safe.

6.8.3 Privacy

Information collected by START A RIDE during the ID verification process will not be sold, shared, or rented to others The files collected as part of the ID verification process on the Service will be used for manually verifying validity of details provided. Once the information has been verified, we will destroy any document you might have uploaded to our server (photo or scan of passport, ID card, Driver’s license) within 7 days of ID verification. The documents might stay in backup files for up to 30 days, and then be destroyed forever. We do not keep any other copies of your personal files anywhere, in accordance with Canadian Law and our Privacy Policy.

The information in the files collected will not be copied to text or stored in our database. We merely use the process to visually verify identities and do not store the information present on the documents on our servers or in our database.

6.9 Referral program

Start a Ride may offer a referral program to Members to encourage them to refer new Members to the Service. Members may earn rewards for successful referrals, subject to the terms and conditions of the referral program.

6.9.1 Description of the Referral Program

The Referral program enables Members to earn Promo codes by introducing new Members to START A RIDE. These new Members must create an Account and complete their first trip successfully. A “Completed” trip is one that is accepted by the Driver, paid for by the Passenger, and not canceled or disputed within 4 days after the scheduled departure date.

Referred Members receive a Promo code from the Referring Member through an invitation. Referring Members can only earn Promo codes for the first 500 Referred Members who complete their first trip according to these terms. To participate, Referring Members must agree to these terms.

6.9.2 Your Referrals

You agree to (i) make best efforts to refer Members who will successfully book a trip, and (ii) educate Referred Members on using the Service, including making bookings, by directing them to resources at START A RIDE’s website. You may not misrepresent yourself as an employee or agent of the Company. While you must disclose that you are a Referring Member, you may not create materials implying an affiliation with START A RIDE.

You agree to use legal and respectful referral methods. You should only contact individuals who have consented to be contacted. You must respect others’ privacy and be honest and transparent about your identity and offerings. You agree not to create accounts, book trips, or create trips on behalf of Referred Members. Violating these terms disqualifies you from receiving Promo codes.

6.9.3 Promo Codes

You will receive a $CAD5 Promo code for the first Completed trip by a Referred Member. The Referred Member will also receive a $CAD5 Promo code upon sign-up.

Referred Members have 21 days from the invitation to complete registration and create an Account. There is no time limit for completing the first trip.

No Promo code will be issued for bookings made by current or former Members. All Referred Members must be new to the service.

Promo codes will be issued within 7 days of each qualifying event and remain redeemable for 6 months after issuance. The decision to issue Promo codes is at START A RIDE’s discretion. The Company reserves the right to deny Promo codes or take other actions if fraud or violations of the terms are suspected.

6.9.4 Nature of Relationship

You acknowledge that your participation in the Referral program does not establish an employment or agency relationship with the Company. You waive any claim to benefits provided to employees. The Company bears no liability or insurance on your behalf.

6.9.5 Indemnity

You agree to defend, indemnify, and hold START A RIDE harmless from claims arising from your participation in the Referral program due to negligence or intentional misconduct.

6.9.6 Termination

START A RIDE may terminate your participation in the Referral program at any time, for any reason. Your obligations under these terms survive termination.

6.9.7 Exclusion and Limitation of Liability

START A RIDE is not liable for special, incidental, punitive, exemplary, or consequential damages related to the Referral program, even if informed of the possibility of such damages.

6.9.8 Modification

START A RIDE may modify the Referral program at any time, with changes posted on the program page. Your continued use indicates acceptance of the modified terms.

7. Community Agreement

By agreeing to these terms, you agree to adhere to our Community Agreement, which outlines expected behavior on our platform. Refer to the Community Agreement page for details.

8 Anti-Discrimination and Anti-Harassment Policies

8.1 Anti-Discrimination Policy

START A RIDE prohibits discrimination based on race, creed, color, national origin, or sex. Allegations of discrimination may result in account closure.

8.2 Anti-Harassment Policy

START A RIDE provides a harassment-free community. Harassment based on protected characteristics is not tolerated and may lead to account closure.

10. Liability, Warranties, Indemnity, Intellectual Property, and Legal Matters

10.1 Limits of liability

Unless the following exclusions are forbidden by law, in particular under the “Loi sur la protection du consommateur” if you are residing in Québec, we shall not be liable for damages of any kind (including but not limited to direct, indirect, incidental, general, special, consequential, exemplary or punitive damages) even if we have been advised of the possibility of such damages, arising from or relating to a) the Member or inability to use our Service b) the cost of replacement of any goods, services or information obtained as a result of our Service c) disclosure of, unauthorized access to or alteration of your content d) damages for loss or corruption of data or programs, service interruptions or procurement of substitute services, even if we know or have been advised of the possibility of such damages e) your or anyone else’s conduct or acts in connection with the use of the services, including without limitation, bodily injury, emotional distress, death or any other damages resulting from communication or meeting with other registered Members or persons introduced to you via registered Members, whether online or offline) any other matter arising from, relating to or connected with our services or these terms. START A RIDE liability to any Member’s claim won’t exceed the maximum amount of $50.

10.2 Disclaimer of warranties

Unless the following exclusions are forbidden by law, in particular under the “Loi sur la protection du consommateur” if you are residing in Québec, if you use our Service, you do so at your sole risk. Our services are provided on an ‘as available’ basis. We expressly disclaim, and you waive, all warranties of any kind, whether express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that:

10.2.1 Our Service will meet your requirements or expectations.

10.2.2 Our Service will be uninterrupted, timely, secure, or error-free.

10.2.3 Any information that you obtain through our Service will be accurate or reliable.

10.2.4 Any errors in any data or software will be corrected.

Unless the following exclusions are forbidden by law, under the “Loi sur la protection du consommateur” if you are residing in Québec, you shall defend, indemnify and hold us harmless from any claim, demand, action, damage, loss, cost or expense, including without limitation reasonable attorneys’ fees, arising out or relating to your use of our Service. If you are obligated to indemnify us, we will have the right to control any action or proceeding and determine whether we wish to settle it, and if so, on what terms.

All material on our Service is protected by rights, copyright, trademarks, service marks, patents, trade secrets or other proprietary rights and laws as may be applicable. Unless expressly authorized by us, you may not sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from such material. It’s our Service – no thieving.

You may not systematically retrieve data or other content from our Service for your own devious plans, including re-creating databases, directories, or downloads. You may not display any portion of our Service in a frame without our prior written consent. You may, however, establish ordinary links to the Service without our written permission. 10.5 Legal compliance

You shall use the Service in a manner consistent with all applicable laws and regulations.

11 Termination & Discontinuance of Service

START A RIDE reserves the right to terminate or modify the Service at any time, with or without cause, and without liability to users.

We may, in our discretion and without liability to you, with or without cause (such cause may include your breach of these Terms of Service) with or without prior notice and at any time, terminate your access to the Service.

11.2 Discontinuance of Service

We may, in our discretion and without liability to you, with or without prior notice and at any time, modify or discontinue, temporarily or permanently, any portion of the Service.
